1. Agreement to terms
These Terms of Service ("Terms") govern your access to and use of the Flywheel by Sellistix websites, application, and related services (collectively, the "Service"), operated by Sellistix LLC ("Sellistix," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms on behalf of yourself and the business you represent. If you do not agree, do not use the Service.
2. The service & license
Flywheel is a business tool that helps Amazon and Walmart sellers reconcile marketplace settlements, track returns against the originating order, and calculate operational cost of goods sold (COGS) from unit costs you provide. It is offered for commercial business use.
Subject to these Terms and your active subscription, Sellistix grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This is a paid business-to-business license — it is not a personal or non-commercial license. You may authorize employees and collaborators to use the Service under your account, and you are responsible for their compliance with these Terms.
3. Accounts & eligibility
You must be at least 18 years old and authorized to bind the business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at support@sellistix.com of any unauthorized use.
4. Acceptable use
You agree not to:
- Access the Service outside our formally published application programming interfaces (APIs), or scrape, probe, or overload it;
- Reverse engineer, resell, or sublicense the Service except as expressly permitted;
- Upload unlawful content, infringe others' rights, or use the Service to violate marketplace terms or applicable law;
- Interfere with the security or integrity of the Service.
Accounts that violate this section may be suspended or terminated.
5. Subscriptions & billing
Flywheel is offered as a monthly subscription priced by marketplace order volume during each billing period. Published tiers, trial terms, and overage rules are described on our Pricing page and may be updated from time to time.
- New accounts receive a time-limited free trial; there is no forever-free plan.
- No credit card is required to create an account; a valid payment method is required to continue service when your trial ends.
- Base tier fees are billed monthly in advance; high-volume overage (when applicable) is billed in arrears on the period invoice.
- Order counts may trigger automatic tier upgrades during a billing period; downgrades apply on the next eligible period.
Payments are processed by our payment processor (Stripe). Third-party marketplace fees (for example, Amazon's Professional selling plan) are separate from your Flywheel subscription charges.
6. Marketplace connections
The Service connects to your Amazon US and Walmart US seller accounts using credentials or authorizations you provide, solely to ingest and reconcile the data you ask us to process. You represent that you are authorized to connect those accounts and to grant us access to that data. Flywheel is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or Walmart, Inc.
7. Intellectual property
The Service, including its software, design, and content (excluding your data), is owned by Sellistix LLC and protected by intellectual property laws. You retain all rights to the marketplace and business data you provide or that we ingest on your behalf ("Your Data"). You grant us a limited license to process Your Data solely to provide and improve the Service in accordance with our Privacy Policy.
8. Data retention (active subscription)
While your subscription is active (including an active trial or paid plan), we retain marketplace financial data needed to operate the Service subject to rolling time limits:
- Core records (orders, order lines, fees, settlements, returns, and related derived data): up to 36 months, measured from the underlying business event date.
- Report files downloaded from marketplaces (for example settlement or order reports): up to 36 months, measured from the business date covered by the file.
- Temporary processing data used during import and reconciliation: typically removed within 90 days after processing completes.
- Operational activity logs (sync status and pipeline messages shown in the product): up to 90 days. These logs support recent troubleshooting and are not a substitute for exported financial records.
Data older than these windows may be deleted automatically as part of our routine retention program. We may adjust default retention windows with reasonable notice; material reductions will be reflected in an updated version of these Terms.
9. Subscription end, export & deletion
When your subscription or entitlement ends (for example, after cancellation and the end of your billing period, or when a trial expires without conversion):
- Marketplace sync stops immediately.
- For 30 days afterward (the grace period), you may still sign in to export your data. We recommend exporting any records you need before this period ends.
- On approximately day 31, marketplace credentials are disconnected and automated processing stops.
- Approximately 61 days after entitlement ends, we permanently delete marketplace data associated with your account from our systems, except where we must retain information for legal, billing, or security purposes.
If you resubscribe during the 30-day grace period, your prior marketplace data may be restored and sync may resume. If you resubscribe after the grace period, you will need to reconnect marketplaces and historical data will not be restored from deleted copies.
We will send email notice before permanent deletion when contact information is on file. Subscription and payment records may be retained longer (up to approximately seven years) for tax, fraud-prevention, and accounting purposes.
10. Disclaimers
The Service is provided on an "as is" and "as available" basis. Sellistix makes no warranties, express or implied, and disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. Flywheel computes operational COGS from the unit costs and marketplace orders available in the Service; it is not accounting, bookkeeping, tax, or full profit-and-loss software, and its outputs are not financial, tax, or legal advice. You are responsible for verifying figures before relying on them.
11. Limitation of liability
To the maximum extent permitted by law, in no event will Sellistix LLC or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to your use of (or inability to use) the Service. Sellistix's total aggregate liability for any claim relating to the Service will not exceed the amounts you paid to Sellistix in the twelve (12) months preceding the event giving rise to the claim.
12. Governing law & disputes
These Terms are governed by the laws of the State of Oklahoma, United States, without regard to its conflict-of-laws rules. You and Sellistix agree that the state and federal courts located in Oklahoma City, Oklahoma will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction and venue there. Before filing a claim, you agree to first contact us at support@sellistix.com to seek an informal resolution.
13. Changes to these terms
We may revise these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
